Problems

 William and Roberta incorporated Willrob, Inc in New Columbia, an MBCA jurisdiction.  The company, which engaged in highway paving, floundered and the two shareholder-directors became lackadaisical about the business.  The following sequence takes place:

 Apr 1 --  Willrob fails to pay state franchise taxes.
 Oct 1  --  Secretary of State's office dissolves Willrob Inc.
 Oct 15 --  William signs a paving contract With Third Party Paving on behalf of Willrob
 Dec 1 --  Willrob breaches the contract
 Jan 1 --  Third Party Paving sues William and Roberta personally
Consider the synapse between corporate taxes and limited liaiblity.
