By-Laws

ARTICLE I

Authorization

The concept and basic structure of the University Senate were approved during the spring of 1967 by the Faculties of the School of Arts and Sciences, the School of Law, the School of Medicine, the School of Business Administration, and the Division of Graduate Studies and were endorsed by the Board of Trustees of Wake Forest College in June 1967.

ARTICLE II

Membership

Section 1. Members.

There shall be two classes of members: (1) ex-officio and (2) elected. All members are entitled to vote.

(a) Ex-officio members shall consist of the President of the University, the Provost, the Vice President and Treasurer, the Vice-Presidents for Administration and Planning, Medical Affairs and University Relations, the Deans of the several schools, the Director of Libraries and the Secretary of the University, and the Director of Athletics.

(b) The elected faculty members shall consist of twelve representatives from Wake Forest College (Arts and Sciences), six representatives from the Wake Forest University School of Medicine and three representatives each from the Babcock Graduate School of Management, the Graduate School, the School of Law, the Calloway School of Business and Accountancy, and one representative from the Divinity School. The elected staff members shall consist of three representatives from the Reynolda Campus and three from the Bowman Gray campus, distributed as much as possible among the professional, clerical, and service staff. Until such time as the staff is represented by an officially recognized staff organization on either or both campuses, the staff representatives will be selected by the University Senate Executive Committee from among solicited applications and nominations.

(c) Additions to the above Senate membership may occur as follows:

(1) If a new graduate or professional school is formed, coordinate in rank to the existing graduate and professional schools, its Dean shall become a member and its faculty shall elect three representatives.

(2) If additional university-level senior administrative positions are established, and the appointees are approved by the Senate Standing Committee on Senior University Appointments, the elected members of the Senate shall determine whether such officers shall become members of the Senate.

Section 2. Terms of Office.

(a) An ex-officio member of the Senate shall hold membership so long as that administrative position is held.

(b) The faculty and staff members of the Senate shall serve for a term of four years and may not serve more than two consecutive full terms, but would be eligible again after being off the Senate for at least one year. However, in order to balance term expiration dates of elected senators, the Senate Executive Committee may decide before an election that the term for a particular senator position may be shortened or lengthened by one year. The change in the term length will be announced to both the Senate and to the relevant academic or staff unit by March 30 of the year of elections. Elections for the next academic year positions must occur between April 15 and September 15. The Senate Executive Committee must approve exceptions to this timeframe. Faculty and staff members of the Senate who fail to attend three or more regularly scheduled meetings during a year may be removed from the Senate by the Executive Committee. A vote of the appropriate body must be held to choose a replacement.

Section 3. Eligibility for Elected Membership.

Eligibility to serve as a faculty representative shall be limited to those holding full-time appointment as professor or associate professor, and to those holding full-time appointment as assistant professor in the fourth year or more of the appointment at that rank at Wake Forest University.

Section 4. Election.

(a) Elections to fill expiring terms in the Senate shall be held by the various Schools in the spring and those elected shall assume office at the start of the first meeting of the Senate in the fall term, normally occurring on the second Wednesday of October. Replacements to fill unexpired terms shall be appointed by the Dean of the affected school.

(b) Eligibility for voting in the election of representatives shall be determined by the faculties of the several schools.

ARTICLE III

Organization

Section 1. Officers.

(a) The officers shall consist of a President and a Vice-President, both of whom must be chosen from the elected members of the Senate, a Secretary and an Assistant Secretary. In the interest of maintaining continuity in the Senate leadership, when possible, and if elected by the Senate, the Assistant Secretary shall succeed the Secretary and the Vice-President shall succeed the President.

(b) All officers, and an at-large member of the executive committee, shall be elected annually at the last regular meeting of the academic year. Candidates shall be those members proposed by the nominating committee or from the floor. Vacancies which may occur among the officers shall be filled by election.

(c) The officers and the at-large member of the executive committee shall be elected by majority vote at the last regular meeting of the academic year. They shall take office at the start of the first meeting of the Senate in the fall term, normally occurring on the second Wednesday of October.

Section 2. Meetings.

(a) The Senate President shall call at least four regular meetings each year. Other meetings may be called on the Senate Presidentâs initiative or on the written request of twenty per cent of the members of the Senate.

(b) Notice of regular meetings shall be sent to Senate members at least two weeks before the meeting. The Dean of each school shall notify the faculty of the school of such meetings. There shall be an agenda established for either regular or called meetings. Called meetings shall require either two working days of prior notice, or agreement of a quorum of elected members to meet earlier than two working days. Voting at called meetings shall be limited to those items on the agenda.

(c) A majority of the total elected membership of the Senate shall constitute a quorum.

(d) Minutes of each Senate meeting shall be kept by the Secretary and copies shall be sent to each Senate member. The minutes shall be available for inspection by faculty members.

(e) A report of the Senate meeting shall be provided by the Secretary, with the prior approval of the presiding officer of that meeting, to all faculty members. Any appropriate medium may be used to ensure issuance within two weeks after the Senate meeting. To avoid any implication that the report is an official copy of the minutes, it will be designated as an informal informational document.

(f) The outgoing and incoming Presidents of the Senate shall hold an orientation meeting of the Senate members elected in the spring, prior to the first Senate meeting of the next-following academic year.

Section 3. Procedures.

The order of business of the agenda shall be determined by the Senate President, except as may be otherwise directed by a vote of the Senate. Sturgis, Standard Code of Parliamentary Procedure, shall govern in the conduct of meetings except as the Senate may otherwise prescribe.

Section 4. Committees.

(a) The Executive Committee shall consist of the officers and one additional ãat-largeä member elected from the Senate. The election of the at-large member shall occur at the time, and in the manner, of the election of officers. If the immediate past President of the Senate remains on the Senate, he/she shall serve as an additional member of the Executive Committee. If the immediate past President of the Senate is no longer on the Senate, he/she shall serve as a non-voting advisor to the Executive Committee.

(b) A Nominating Committee of three members shall be appointed by the Senate President not later than the third Senate meeting of each academic year. Committee members shall be selected from the relatively senior Senate members and desirably would include former Senate officers. It is the duty of this committee to present a slate of officers and a nominee for the at-large member of the Executive Committee. The nominees shall be presented to the President of the Senate in time for distribution of a ballot with the agenda for the final meeting of the year. In their deliberation, the Nominating Committee shall consider:

(1) Apportioning the members of the Executive Committee among the various schools of the University.

(2) Analyzing the length of the remaining Senate terms of the possible candidates with the intent of balancing experience and time remaining on the Senate. Continuity is considered in Article III, Section 1(a).

(c) The standing committees of the Senate shall be the University Oversight, Intra-University Operations, Fringe Benefits, and Senior University Appointments Committees. The Senate President shall appoint standing committee members and chairs. Appointments shall be balanced among elected and ex-officio Senate members if feasible.

(1)The University Oversight Committee shall monitor, evaluate, and participate in the University's program planning, capital planning and other long-range planning processes. The Senate President shall appoint one University Oversight Committee member from the Reynolda campus to serve a three-year term on the University Capital Planning Committee. The Committee will also make recommendations to the Senate involving initiatives with long-term implications for the University or the faculty.

(2) The Intra-University Operations Committee will initiate and implement projects and programs that foster cooperation and communication between various components of the University.

(3) The Fringe Benefits Committee shall serve as a conduit of information from the University faculties to the responsible University administrator on benefits issues. When faculty members have concerns with benefits programs, the Committee shall present those concerns to the University administration and seek resolution. The Committee shall develop and advocate improvements in benefits and report to the Senate.

(4) The Senior University Appointments Committee shall recommend persons for honorary degrees, receiving nominations from the University faculties and reporting its recommendations to the Senate, which must approve the recommendations before they are communicated by the President of the University for approval by the Board of Trustees. The Committee shall advise on appointments of all senior administrators (i.e., members of the Executive Council), including the President of the University, of all colleges and schools of the University.

(d) The Senate may create ad hoc and additional standing committees and determine their purposes and duration. The President of the Senate may create ad hoc committees and determine their purposes and duration. The President of the Senate shall appoint members and chairs of all committees. The Senate may terminate any committee. The President of the Senate may terminate an ad hoc committee that the Senate President creates.

ARTICLE IV

Functions

The functions of the University Senate shall be as follows

1. To participate in long-range planning for the University.

2. To consider other matters pertaining to the general welfare of the University. Wherever there is disagreement between the Senate and the faculty of any school about whether a given matter pertains to the general welfare of the University or is a matter internal to that school, any conclusions or recommendations of the Senate on the matter shall be submitted to the faculty of the school for concurrence or dissent before being passed on to other agencies of the University for implementation.

3. To advise on the appointment of senior administrative officers.

4. To recommend through the President of the University to the Board of Trustees persons to receive honorary degrees.

5. To do those things authorized, or permitted, by the Trustees from time to time.

6. To carry out the functions listed above.

ARTICLE V

Amendments

These By-Laws may be amended at any meeting of the University Senate by two-thirds vote of those present and voting, provided a copy of any proposed amendment has been distributed to the members of the Senate at a preceding meeting or at least two weeks in advance of the meeting at which the proposed amendment is to be acted upon. No amendment shall be effective until approved by the faculties of the University (see Article II, Section 1(b).

ARTICLE VI

Implementation

These By-Laws shall be effective upon approval by the faculties of the University (see Article II, Section 1(b). [Adopted and approved October 2000]
